Gradulux® General Terms and Conditions of Sale
(To accept, check "Read and approved" at the end of the terms)
1. Definitions
Seller : GRADULUX (replace with legal entity details). Buyer : any professional or consumer placing an order on the Site. Products : goods and services offered for sale on the Site. Site : www.gradulux.org.
2. Scope & Acceptance
Any order implies full and unconditional acceptance of these General Terms and Conditions of Sale (GTCS). They prevail over any contrary document from the Buyer, unless expressly accepted in writing by the Seller.
3. Products & Availability
Descriptions, photos and technical data are provided for information. The Seller may update specifications without notice. Offers are valid while stocks last.
4. Prices
Prices are shown in EUR, inclusive/exclusive of VAT as indicated, excluding delivery and optional services. The applicable price is the one displayed at the time of order confirmation. The Seller may change prices at any time for future orders.
5. Order Process & Contract Formation
Selection of Products and validation of the basket;
Identification / account creation or guest checkout;
Summary (details, price, delivery costs, taxes) and acceptance of the GTCS;
Payment. The sale is final upon confirmation of payment and email acknowledgement.
6. Payment Terms
Payment is due at order by the methods available on the Site. In case of payment incident, the order may be cancelled and the account suspended.
7. Delivery, Transfer of Risk
Delivery to the address provided by the Buyer or to the carrier designated by the Seller. Estimated lead times are indicative. Risk transfers upon physical handover to the Buyer or the carrier (depending on the chosen Incoterm where applicable).
8. Inspection & Reservations
The Buyer must check the parcel(s) upon delivery. In case of damage, shortage or non-conformity, precise reservations must be issued to the carrier and notified to the Seller within 3 days from delivery.
9. Right of Withdrawal (Consumers)
Consumers (not professionals) benefit from a 14-day withdrawal period from receipt, without reason or penalty, except return costs. To exercise it, send an unambiguous statement (email or form) and return the Products in their original condition within 14 days. Refund of sums paid (including standard delivery costs) occurs within 14 days from the withdrawal notification or upon receipt/proof of shipment of the returned Products.
Exceptions : custom-made or clearly personalized Products; sealed items unsealed after delivery and not suitable for return for health/hygiene reasons; digital content supplied on a non-material medium after prior consent and waiver of the withdrawal right, as provided by applicable law.
10. Returns Outside Withdrawal & Non-Conformity
Any return requires prior agreement from the Seller. In case of proven non-conformity or defect upon delivery, the Seller may offer repair, replacement or refund according to legal rules.
11. Legal Guarantees
The Products benefit from the legal guarantee of conformity and the guarantee against hidden defects under French law (articles L.217-4 et seq. of the French Consumer Code and 1641 et seq. of the Civil Code). In case of lack of conformity, the Buyer may request repair or replacement, or failing that a price reduction or rescission, according to legal conditions. For hidden defects, the Buyer may request rescission or price reduction.
12. Commercial Warranty (if any)
Any commercial warranty is specified on the Product page or documentation. It does not affect legal guarantees.
13. Retention of Title
Products remain the Seller’s property until full payment of the price. Risk transfers as defined in Article 7.
14. Liability & Force Majeure
The Seller shall not be liable for indirect damages, loss of profit, or non-performance due to force majeure (including but not limited to: war, epidemic, strike, fire, flood, supply failures, transport blocks). In such cases performance is suspended for the duration of the event.
15. Personal Data
Data is processed according to the privacy information shown on the Site and applicable regulations (GDPR). Contact our DPO at direction@gradulux.org for your rights (access, rectification, erasure, etc.).
16. Customer Service – Complaints – Mediation
Customer service: direction@gradulux.org . After prior written complaint, consumers may refer the matter to a consumer mediator (to be specified by the Seller) or use the EU ODR platform.
17. Governing Law Jurisdiction
These GTCS are governed by French law. Any dispute shall fall under the jurisdiction of the Commercial Court of Perpignan, France, unless mandatory rules dictate otherwise.
